Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the website located at smartvoicecrm.io or the Smart Voice CRM platform (collectively, the “Service”), operated by Smart Voice CRM, the CRM division of Smart Voice AI (“we,” “us,” or “our”). By accessing or using the Service, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service in any manner, you affirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to be bound by them. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Smart Voice CRM is an AI-powered customer relationship management (CRM) platform designed for service-based businesses. The Service includes, but is not limited to:

  • AI-powered call intake and lead qualification
  • Sales pipeline and contact management
  • Automated SMS and email follow-up sequences
  • Appointment scheduling and calendar management
  • Analytics and reporting dashboards
  • Multi-location management tools

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

3. Account Registration

To access most features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password confidential and not share it with any third party
  • Notify us immediately at legal@smartvoicecrm.io of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we believe have been compromised.

4. Subscription Plans and Billing

a. Fees

Access to the Service requires a paid subscription. Current pricing is available on our Pricing page. All fees are stated in US dollars and are exclusive of applicable taxes unless otherwise stated.

b. Payment Processing

All payments are processed securely through Stripe. By providing your payment information, you authorize us (via Stripe) to charge your payment method for the subscription fees at the applicable billing interval. Stripe’s use of your payment information is governed by Stripe’s Privacy Policy.

c. Free Trial

We may offer a free trial period. No charge will be made during the trial. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial expires. We will notify you before the trial ends.

d. Renewals and Cancellations

Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. We do not provide refunds for unused portions of a billing period unless required by applicable law.

e. Price Changes

We reserve the right to change subscription fees with at least 30 days’ advance notice. Your continued use of the Service after the price change takes effect constitutes your agreement to the new fees.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to send unsolicited communications (spam) or violate any anti-spam laws, including the CAN-SPAM Act or TCPA
  • Collect or harvest personal data from the Service without authorization
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Upload or transmit viruses, malicious code, or any content that is harmful, defamatory, obscene, or otherwise objectionable
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service in any way that could damage, disable, overburden, or impair our servers or networks
  • Resell, sublicense, or otherwise commercialize the Service without our prior written consent

We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated this section.

6. Intellectual Property

The Service and all content, features, and functionality — including but not limited to software, text, graphics, logos, icons, and the compilation thereof — are owned by Smart Voice CRM or Smart Voice AI and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include the right to copy, modify, distribute, or create derivative works of any part of the Service.

You retain ownership of any data, content, or materials you upload to the Service (“Your Content”). By uploading Your Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process it solely as necessary to provide the Service.

7. Confidentiality and Data Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described therein.

8. Third-Party Services and Integrations

The Service may integrate with or link to third-party services (e.g., telephony providers, calendar applications, payment processors). Your use of such third-party services is governed by their own terms and privacy policies. We are not responsible for the practices or content of any third-party services.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We do not guarantee the accuracy, completeness, or usefulness of any AI-generated output produced by the Service. You are solely responsible for evaluating and acting upon any information or recommendations provided by the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMART VOICE CRM AND SMART VOICE AI, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Smart Voice CRM, Smart Voice AI, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with reasonable notice. You may terminate your account at any time by cancelling your subscription through the account settings or by contacting legal@smartvoicecrm.io.

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the American Arbitration Association’s Commercial Arbitration Rules.

You agree that any arbitration or legal proceeding will be conducted on an individual basis and not as a class or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Effective Date” at the top of this page. For material changes, we will provide at least 14 days’ advance notice via email or a prominent in-app notice. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Smart Voice CRM regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations.
